Terms of Service

• You must be at least 18 years old and legally capable of entering a contract.
• You must provide accurate information and keep your account details current.
• You are responsible for account activity and for protecting your password, email account and connected sign-in methods.
• Tell us promptly at support@proply.site if you believe an account has been accessed without permission.

Proply lets customers create and publish websites, manage property information and media, receive enquiries and use the capabilities included in their plan. We may improve, replace or discontinue parts of the service. Where a material change negatively affects a paid subscription, we will provide reasonable notice when practicable.

You keep ownership of content you upload. You give Proply a worldwide, non-exclusive licence to host, copy, process, resize, transmit and display that content only as needed to operate, secure and improve the service and to follow your publishing instructions.

You are responsible for the accuracy and legality of your listings, prices, ownership claims, images, business information and communications. You must have the rights and permissions needed to publish all content and to process visitor enquiries. Proply does not verify or broker property transactions unless explicitly stated.

You must not use Proply to:

• publish unlawful, fraudulent, discriminatory, deceptive or infringing content;
• misrepresent property ownership, authority, availability, price or title status;
• send spam, harvest personal information or misuse visitor enquiries;
• upload malware or attempt to bypass access controls, plan limits, rate limits or security measures;
• interfere with the service or use automated access that creates unreasonable load;
• resell or copy the platform except through a written agreement with Proply.

• Plan prices, limits and included features are shown on the Pricing page or at checkout.
• Paid subscriptions renew automatically for the selected monthly or yearly period until cancelled.
• The checkout page shows the charge currency, amount and billing interval before you authorize payment. Taxes may apply.
• You authorize our payment provider to charge the selected payment method for recurring fees, taxes and approved adjustments.
• Except where law requires otherwise or checkout expressly states otherwise, fees already paid are non-refundable.
• If payment fails, we may retry the charge, limit paid capabilities or suspend the subscription after any stated grace period.

You can manage an eligible paid subscription from Plan and billing. Cancellation stops future renewal and normally takes effect at the end of the paid period. Changing to a plan with lower limits may require you to reduce websites, listings, storage or team members before the change can take effect. We may preserve data for a limited period after expiry but do not promise indefinite storage.

You are responsible for domain registration, renewal, DNS authority and the right to use any connected domain. Proply uses third-party providers for services such as media delivery, authentication and payment. Their services may have separate terms and privacy notices. We are not responsible for third-party products outside our reasonable control.

Proply and its licensors own the platform, templates, interface, software, documentation and branding, excluding customer content. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your account’s valid term. They do not transfer ownership of Proply technology or permit you to extract and redistribute a template outside the service.

We may restrict or suspend access where reasonably necessary to address non-payment, security risk, unlawful activity, abuse, infringement, serious or repeated breach, or harm to users or the service. We will provide notice and an opportunity to remedy the issue when appropriate. You may stop using the service at any time.

We work to keep Proply reliable and secure, but the service is provided on an “as available” basis. To the extent permitted by law, we do not guarantee uninterrupted operation, a particular search ranking, uninterrupted third-party services, or that customer content and property transactions are accurate or successful. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by law, Proply will not be liable for indirect, incidental, special, exemplary or consequential loss, or for loss of profits, revenue, goodwill, data or business opportunity. Proply’s aggregate liability connected with the service will not exceed the fees you paid to Proply during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.

To the extent permitted by law, you will defend and reimburse Proply for third-party claims, losses and reasonable costs arising from your content, property representations, violation of law, infringement of another person’s rights or material breach of these Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Before starting formal proceedings, each party will try in good faith for 30 days to resolve the dispute after written notice. Subject to any mandatory consumer rights, Nigerian courts have jurisdiction over unresolved disputes.

We may update these Terms to reflect service, legal or operational changes. We will post the revised Terms and provide additional notice for material changes where appropriate. If any provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. You may not transfer your agreement without our consent; Proply may transfer it as part of a reorganization, financing or sale.
